Scope
We provide web design, development, and support services as described in your quote, package, or email confirmation. These services are tailored to meet your business needs and ensure the delivery of a professional website.
Client Responsibilities
Clients must provide timely content, approvals, and access needed to deliver the project. This includes any text, images, logos, or other assets needed for the website’s development.
Clients confirm they have the rights to any content or assets supplied (text, images, logos, etc.) and that they are not infringing on the intellectual property of third parties.
Fees & Payment
Fixed-price packages are as advertised, custom work will be quoted separately. All prices are exclusive of VAT. The agreed-upon amount for custom work will be billed based on the scope of the project.
Standard payment terms: 50% deposit required to begin work, with the balance due upon approval of the completed work before launch (unless otherwise agreed in writing).
Overdue invoices may result in a pause in work until payment is received. Late payments may incur a fee of 5% per month on the outstanding balance.
Revisions & Timelines
Two rounds of revisions per page/template are included unless stated otherwise in your quote or agreement. Additional revisions may incur extra charges, which will be billed at our standard hourly rate.
Project timelines depend on client responsiveness and content readiness. Delays in providing content or feedback may result in an extended delivery timeline.
Ownership & Licences
Upon full payment, you will own the final website code, content, and assets created for your project. However, third-party assets such as stock photos, plugins, and fonts remain the property of their respective owners and may require additional licensing fees.
We reserve the right to showcase the work in our portfolio or marketing materials unless you opt out in writing.
Third-Party Services
We may integrate third-party services into your website (e.g., payment gateways, analytics tools, and email providers). By using these services, you are agreeing to their respective terms and privacy policies.
Third-party services may carry their own ongoing fees, which are the responsibility of the client. We are not liable for any issues arising from these third-party services.
SEO & Performance
We implement technical best practices for SEO, such as ensuring fast page loading times (Core Web Vitals), optimizing metadata, sitemaps, and submitting your site to Google and Bing. However, search engine rankings and organic traffic depend on many external factors and cannot be guaranteed.
Support & Maintenance
Post-launch bug fixes related to our work are included for 30 days (warranty period). This warranty does not cover changes made by the client, third parties, or issues outside of our control (e.g., hosting outages or third-party plugin updates).
After the 30-day warranty period, ongoing updates, security patches, and support are available via our optional Care Plans. Without a Care Plan, additional work will be billed at our standard hourly or daily rate.
Late Payments & Fees
In the event that payments are overdue, work will be paused until the outstanding balance is cleared. Late payments may incur a late fee of 5% per month on the unpaid amount. Failure to pay after 60 days may result in the termination of the agreement.
Liability
Our total liability is limited to the fees paid for the specific services giving rise to the claim. We are not liable for any indirect, incidental, or consequential losses, including but not limited to loss of revenue, profits, or data.
Termination
Either party may terminate the agreement if a material breach is not resolved within 14 days of written notice. Deposits are non-refundable once work has commenced, and any work completed will be billed at the agreed-upon rate.
Intellectual Property Rights
Upon full payment, you own the final website code and content we create for you, excluding any third-party assets (such as stock images, fonts, and plugins) which remain the property of their respective owners.
We reserve the right to showcase the final work in our portfolio and for marketing purposes unless explicitly stated otherwise in writing by you.
Force Majeure
Neither party shall be held liable for failure to perform its obligations due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, government restrictions, pandemics, strikes, or system failures.
Governing Law & Dispute Resolution
These terms and conditions are governed by the laws of England and Wales. Any disputes arising under or in connection with these terms shall first be attempted to be resolved through mediation. If mediation fails, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
Project Scheduling & Agency Delays
Project start and delivery dates are estimates and depend on our current workload, your content readiness, and third-party dependencies. We schedule projects once the deposit is received and required assets are supplied.
- Non-binding timelines: Estimated dates are guides, not guarantees, unless a fixed deadline is expressly agreed in writing (“time is of the essence”).
- If InnovaWeb.uk is the cause of delay: We will notify you promptly, explain the cause, and propose a revised schedule. Budget stays unchanged unless scope has changed.
- Fixed deadlines: If you require a guaranteed launch date, this must be agreed in writing and may require a rush fee and specific client response times.
- Optional remedy for missed fixed deadlines: If we miss a contracted fixed deadline solely due to our actions or omissions, we will provide a service credit of one (1) month of managed hosting or a credit equal to 5% of the delayed milestone (whichever is lower), capped at 10% of the project fee.
- Exclusions: Delays caused by late feedback, missing assets, change requests, third-party issues, or force majeure are not considered agency delay.
Care Plans — Scope & Fair Use
Care Plans cover routine maintenance tasks that fit within your plan’s monthly minutes (Basic 30 min, Standard 60 min, Pro 120 min) and our standard SLA (Basic/Standard: 48h; Pro: next business day). Unused minutes do not roll over unless agreed in writing.
Client-Caused Issues & Third-Party Changes
Changes made by you or third parties (e.g. custom code edits, plugin installs, theme changes, or admin actions) are outside the warranty and Care Plan scope. We can assist with remediation; minor fixes may be applied within your monthly allowance, otherwise work will be quoted at our standard rate.
Security, Backups & Incident Response
We implement reasonable hardening and backups as provided by your hosting tier. Restores can be requested and may consume your monthly allowance or incur a fee if extensive coordination is required. We do not guarantee prevention of unauthorised access or malware; hack/malware clean-up is a separate, quoted service unless expressly included in your plan.
Domain Registration & Renewal
Unless agreed otherwise in writing, domains are registered in your name and are yours to control. Your package includes the first year of registration for one domain from our published list of extensions (.co.uk, .com, .uk, .online, .info, .net).
After the included period, renewal fees are your responsibility. We’ll send reminder(s) to your account email, failure to renew may result in suspension or redemption fees set by the registrar. We’ll provide transfer/auth codes upon request.
Managed Hosting — Fair Use & Service Level
Managed hosting is month-to-month with 30 days’ notice. It includes a reasonable/fair use policy for bandwidth, storage, CPU and emails as set by our supplier. Scheduled maintenance windows may occur with prior notice when practicable. While we target high availability, uptime and email deliverability cannot be guaranteed. Email spam filtering, blacklists, SPF/DKIM/DMARC configuration and recipient server policies are outside our control.
Data Protection
We process personal data in accordance with our
Privacy Policy. Both parties agree to comply with applicable data protection laws, including UK GDPR and PECR.
Quotes & Changes
Quotes are valid for 30 days. Changes to scope after sign-off are handled via written variation and may affect price and timeline.
Withdrawal from the Project
The client may withdraw from the project at any time by written notice.
The deposit is non-refundable once we have started work and committed time and resources to the project.
If no work has yet started, we may, at our discretion, refund part or all of the deposit.
Right to Decline Orders
InnovaWeb.uk reserves the right to decline or refuse a project without obligation to provide detailed justification.
Possible reasons include (but are not limited to):
- - requests or content that violate laws, ethics, or our internal policies,
- - projects considered high-risk or unsuitable (e.g. gambling, adult content, illegal activities),
- - history of poor payment discipline,
- - lack of available capacity or resources,
- - requirements that are not realistically achievable within the agreed budget or timeline.
If an order is declined before work has commenced, any deposit already paid will be refunded in full.
